Procurement Agreement (#24)

Swopp - Courier Selling / Trade In Agreement

This procurement agreement is between the buyer (Avenir Smart Solutions (Pty) Ltd t/a Swopp), and the seller (details filled below). 

The item(s) will be sent via courier (The courier guy) on the cost of the buyer (Avenir Smart Solutions (Pty) Ltd t/a Swopp). After inspection of the goods, and meeting all the qualifying criteria of the functionality of the device and the device’s submitted condition, payment will be made within 8 hours after receiving the goods. Payments may take 10 mins to 3 business days to clear depending on the financial institution, however the seller will submit all payments as "Pay and clear now" payments to the buyer's account. The payment information, address and device specifications should be provided by the seller before the shipment of the item(s) and a quote should be agreed upon as per the described device.

In the event that the item does not match the description provided by the seller, or the buyer does not accept the original proof of purchase the buyer has the right to change/amend their offer, and will inform the seller.

If the original proof of purchase is requested and does not include the following, the buyer may reject the transaction or offer an amended purchase price: Company's Registration Number, VAT registration number, serial and/or IMEI number of the device(s), company address, company contact details, terms and conditions and/or warranty information with return policies.

If the device was purchased from an individual seller or independent dealer, the buyer (Swopp) may request the original purchase agreement between the seller and the original owner of the device.  

Should the seller not accept the amended offer, the device can be shipped back to the seller at a R250,00 fee payable to Avenir Smart Solutions (Pty) Ltd prior to the device being shipped back. The shipment will be booked as an economy parcel and is subject to the delivery times given by The Courier Guy. 

Avenir Smart Solutions (Pty) Ltd does not take liability for any devices that are returned to the sender in cases of parcels being lost, damaged or stolen during transit. The device(s) being returned will be adequately packaged to ensure safe transit. 

The seller is liable for the packaging and has to package the device(s) in the appropriate manner for it not to be damaged during shipping. The buyer cannot be held liable for goods arriving in a damaged condition due to shipping. NB: The seller agrees to carry the risk of the goods being transported by the courier company and cannot hold the buyer liable in cases of parcels or devices being lost, damaged or stolen during transit, as well as if the offer was rejected and the device is shipped back from the buyer.

The seller hereby takes the sole risk of the device until it is in the possession of Avenir Smart solutions (Pty) Ltd. Only parcels delivered at 72 Brummeria Road, Brummeria, Pretoria, Gauteng 0081 will be considered as successful delivery and a confirmation email will be sent upon the arrival of the parcel at our premises. 

The buyer has the responsibility to provide the tracking number for the pickup of the package prior to the pickup of the device unless other arrangements has been made with regards to shipping, where the above stated terms will still be applicable. Only waybill numbers and tracking numbers provided by the buyer may be used when parcels are being collected and any other waybills will not be applicable to this agreement, unless agreed upon otherwise by the buyer and the seller on a written email or message. 

It is the seller's responsibility to provide the correct bank account details for payment. Should payment be made to the bank account details provided on this form and the seller only informs Avenir Smart Solutions (Pty) Ltd t/a Swopp after the fact, the buyer cannot be held liable and the onus lays with the seller to dispute the payment with their respective bank.

The Seller indemnifies the buyer against any claims or losses arising from a loss of data from any Device which may arise once the Devices have been delivered to SWOPP. It is the responsibility of the seller to remove any and all data from the device prior to sending it to Swopp. 

The buyer confirms that in any event that the device becomes iCloud locked, user locked or blacklisted the seller will be held liable for damages and if damages are not repaid, legal action will be taken and a case will be opened with the SAPS and other relevant parties for fraud or theft.

Avenir Smart Solutions (Pty) Ltd is given the express right to obtain lost monies and damages of full purchase amount plus recovery costs incurred by a third party debt-collector.

The seller shall be listed and reported to all major credit burros as a default payer within 28 days of the first notice and a criminal investigation and report will be initiated. 

When entering this agreement, you expressly state that you are the owner of the device being sold, and are entitled to transfer ownership of the goods to Avenir Smart Solutions (Pty) Ltd trading as Swopp.

The seller confirms that their data will be removed prior to sending the device to Swopp, otherwise a R500 data erasure fee will be deducted from the final amount. 

Swopp is a registered secondhand goods reseller with the South African Police service, certificate number (A100217)
